These Terms of Service govern your use of Pixel Wand. They're written in plain language. If anything is unclear, email thomas@hartecho.com and we'll explain.
1. Acceptance
By creating a Pixel Wand account or signing in to one, you accept these Terms and our Privacy Policy. If you're using Pixel Wand on behalf of a company or other organization, you confirm that you have authority to bind that entity, and “you” in these Terms means both you personally and the entity.
If you don't accept these Terms, don't use Pixel Wand.
2. The service
Pixel Wand is a digital asset management (DAM) service for marketing and brand teams. It lets you upload, organize, search, export, and share creative assets within multi-tenant workspaces. The exact set of features available depends on your subscription plan.
We change Pixel Wand over time: new features, removed features, redesigns, bug fixes. Material changes that affect your existing workflow are announced at least 14 days in advance by email or in-app banner.
3. Your account
You're responsible for the credentials on your account. Keep them somewhere safe, don't share them, and use a strong password (or sign in with Google or GitHub if you prefer to outsource that problem).
You're responsible for everything that happens under your account. If you suspect unauthorized access, notify us immediately at thomas@hartecho.com.
The information you provide (name, email, billing details) must be accurate and kept up to date. If we can't reach you because your email bounces, we may suspend the account.
4. Acceptable use
While using Pixel Wand, you agree not to:
- Upload, store, or distribute content that is illegal where you live, where the recipient lives, or in the United States, including content that infringes intellectual property rights, contains child sexual abuse material, or constitutes harassment or threats.
- Use Pixel Wand to send unsolicited bulk messages, run malware, or attack other systems.
- Attempt to gain unauthorized access to Pixel Wand, other workspaces, or the underlying infrastructure. Security testing requires our prior written permission.
- Abuse the API: bypass rate limits, scrape another workspace, circumvent authentication, or reverse-engineer the service to build a competing product.
- Resell, sublicense, or expose Pixel Wand to third parties as a service without our prior written agreement.
- Misrepresent your affiliation with a person, company, or organization when using or signing up for Pixel Wand.
We may suspend or terminate accounts that violate this section. Egregious violations (CSAM, attacks on infrastructure) result in immediate termination and may be reported to law enforcement.
5. Your content
You keep ownership of everything you upload to Pixel Wand. Your assets, your IP, your business.
To operate the service, you grant Pixel Wand a worldwide, non-exclusive, royalty-free license to store, transmit, copy (for backups and CDN delivery), display (to you and the workspace members you authorize), and process your content. This license exists solely to run the service and ends when you delete the content or your account.
We don't claim rights to your IP. We don't use your content to train AI models. We don't use your content for marketing or testimonials without your explicit, separate consent.
You represent that you have the necessary rights to upload every asset you upload, and that doing so doesn't violate anyone else's intellectual property, privacy, or other rights. If someone sends us a valid DMCA notice or equivalent claim, we may remove the disputed content and notify you.
6. Subscriptions and billing
Paid plans are billed monthly or annually in advance through Stripe. Your subscription renews automatically on the same cadence until you cancel.
You can cancel at any time from Settings → Billing. Cancellation takes effect at the end of the current billing period; you keep access until then. We don't pro-rate refunds for unused time on a billing period.
Refunds outside that default are at our discretion. If something clearly broke and we owe you a refund, email us and we'll handle it. Reach out at thomas@hartecho.com.
Prices may change. We'll give at least 30 days' notice before a price change affects your existing subscription. If you don't want to accept the new price, cancel before it takes effect.
7. Termination
You can terminate your relationship with Pixel Wand at any time by deleting your account from Settings. Your data is purged on the schedule described in the Privacy Policy.
We may terminate or suspend accounts that violate these Terms, that we're legally required to terminate, or that have been inactive long enough for us to consider them abandoned. For voluntary terminations on our side that aren't for cause, we'll give at least 30 days' notice and a chance to export your data.
Sections of these Terms that should reasonably survive termination (your content license to the extent needed to delete it, warranty disclaimer, limitation of liability, governing law) continue after termination.
8. Warranty disclaimer
Pixel Wand is provided “as is” and “as available.” We don't warrant that the service will be uninterrupted, error-free, or perfectly secure. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of liability
To the maximum extent permitted by law, Pixel Wand's total cumulative liability arising out of or related to your use of the service is capped at the total amount of fees you paid us during the 12 months immediately preceding the event that gave rise to the claim. If you didn't pay anything in that period, the cap is US $100.
We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, or business interruption, even if we were advised of the possibility.
Nothing in this section limits liability that can't be limited under applicable law (for example, fraud or willful misconduct).
10. Governing law
These Terms are governed by the laws of the State of Utah, USA, without regard to its conflict-of-laws principles. Any dispute that the parties can't resolve informally must be brought in the state or federal courts located in Utah County, Utah, and both parties consent to that jurisdiction.
If you're a consumer in a jurisdiction that grants you the right to bring suit in your local courts, nothing in this section overrides that right.
11. Changes
We may update these Terms over time. Material changes are announced by email and in-app banner at least 14 days before they take effect. Continued use of Pixel Wand after the effective date counts as acceptance. If you don't accept the new Terms, cancel your account before they take effect.
